Offshore Glossary — 40 Terms

Plain language, no mystique.

One paragraph of orientation before anything else: The forty terms that recur in every offshore file — from Apostille and Beneficial Owner to Redomiciliation, Registered Agent and UBO — defined in one page, in plain language, the way our desk uses them with clients.

The 1-working-day route, hour by hour

This is the actual sequence our desk runs. Ajman Offshore can complete inside one working day on a clean file; RAK ICC and JAFZA follow the same steps over 2–5 days.

Before 10:00 — Free consultation

15 minutes on WhatsApp or a call. We confirm the right registry for your purpose, quote the full written cost, and reserve your company name.

By 12:00 — KYC pack complete

Passport copy, proof of address, brief source-of-funds note, and signed application. We check everything against registry standards before it goes anywhere.

By 14:00 — Filed at the counter

GoldenKey submits in person through our registered-agent desk. A clean file does not sit in a queue.

Same / next working day — Incorporated

Certificate of Incorporation, MOA and share certificates issued. Ajman Offshore can complete same day; RAK ICC and JAFZA follow in 2–5 days.

Day 2 onward — Bank account

We pre-match your profile to banks with current appetite for offshore structures and manage the application — our success rate stays at 96%.

Why founders run this through GoldenKey

01

Full repatriation

100% of profits and capital can move out of the structure — no exchange controls, no repatriation tax.

02

Multi-currency banking

UAE accounts run AED, USD, EUR, GBP side by side — invoice globally without conversion drag.

03

One-day capability

Ajman Offshore incorporates in as little as one working day when the file is complete — we pre-clear names and KYC before submission so nothing bounces.

04

Asset ring-fencing

A separate legal person holds the assets — a claim against you personally does not automatically reach what the company owns.

05

No physical presence needed

Formation and renewal run through your registered agent — most clients never fly in.

06

Privacy by design

Shareholder registers are not published publicly; disclosure runs to the registrar and your bank under UAE AML law, not to the open internet.

Frequently asked questions

Offshore, free zone or mainland — which one do I need?
Offshore = holding and international invoicing, no UAE presence. Free zone = UAE base, visas, 0% qualifying-income potential. Mainland = unrestricted UAE market access. Most cross-border founders end with an offshore holding layer above a free-zone operating company — the 15-minute consultation settles which applies to you.
Is a UAE offshore company tax-free?
Not automatically. UAE Corporate Tax applies at 9% above AED 375,000 of profit unless the entity genuinely qualifies for relief, and FTA registration is mandatory regardless of profit — the late-registration penalty is a flat AED 10,000. We register every company we form and give you the written position for your case.
What is the cheapest UAE offshore company?
Ajman Offshore carries the lowest formation and renewal economics in the country, followed by RAK ICC. JAFZA Offshore costs more but is the only vehicle that directly owns Dubai freehold property. Ask for the written quotation — it dates every figure and names every fee.
Do offshore companies file audits?
RAK ICC and Ajman Offshore require books to be kept but generally not filed audits for simple holding structures. JAFZA can request accounts. Economic Substance and UBO rules apply based on activity — we set the compliance calendar at incorporation.
Do I need to visit the UAE to set up an offshore company?
No. All three registries incorporate through a licensed registered agent, and signatures can be handled remotely or by courier. Some banks ask for one meeting for account opening; several now complete onboarding by video call.
