E-invoicing for free zone companies

A common assumption in the free zones is that e-invoicing is a mainland problem. It is not. The mandate follows the transaction, not the licence type, and a free zone company invoicing another UAE business is doing exactly the kind of transaction the scheme was designed to capture.

What matters

The short version

Four things worth understanding properly before you spend money on anything.

1Your licence type does not decide this

The mandate is drawn around business transactions in the UAE, not around whether your licence came from a free zone authority or an economic department. A SHAMS company and a Dubai mainland LLC face the same obligation.

2Qualifying Free Zone Person status is a different question entirely

QFZP determines your corporate tax rate on qualifying income. It has nothing to do with whether you must issue structured invoices. Two separate regimes, two separate sets of paperwork.

3Zone service providers are not doing this for you

Some zones offer accounting partners or software bundles. None of that removes your obligation to appoint an ASP and to issue compliant invoices from your own records.

4Good invoicing records help your QFZP position anyway

Since QFZP status is tested every year on substance and on the split between qualifying and non-qualifying revenue, having clean structured invoice data makes that annual test considerably easier to evidence.

UAE e-invoicing rollout — key dates

Published by the Ministry of Finance and the Federal Tax Authority. Dates below are the current published position; confirm your own phase in writing before you commit to a supplier.

23 February 2026

Electronic Invoicing Guidelines V1.0 published

The Ministry of Finance issued the official guidelines and the mandatory-fields specification, which is when the scheme moved from announcement to something you can plan against.

1 July 2026

Voluntary pilot opens

Businesses can start issuing e-invoices voluntarily or as part of the pilot group. Joining early means no penalties before your own compliance date.

30 October 2026

Large businesses appoint an ASP

Businesses with annual revenue of AED 50 million or more must have an Accredited Service Provider appointed. This deadline was extended from July by Ministerial Decision No. 56 of 2026.

1 January 2027

Large businesses go live

Structured e-invoicing becomes mandatory for the AED 50 million and above group, covering B2B and B2G transactions.

31 March 2027

Everyone else appoints an ASP

Businesses below the AED 50 million threshold must have their Accredited Service Provider in place.

1 July 2027

Remaining businesses go live

The rest of the in-scope population starts issuing structured e-invoices. Being small delays your date; it does not take you out of scope.

1 October 2027

Government entities go live

Government bodies complete the rollout, which closes the loop on business-to-government invoicing.

Are free zone companies exempt from UAE e-invoicing?

No. The mandate applies broadly to businesses conducting transactions in the UAE. A free zone licence does not put you outside it.

Does being a Qualifying Free Zone Person change anything?

Not for e-invoicing. QFZP is about your corporate tax rate on qualifying income. The two regimes run in parallel and you can easily be inside both.

What about an offshore company that does not trade in the UAE?

Offshore entities that genuinely do not conduct business in the UAE sit differently, and passive investment holding companies appear in the published exclusions. This is exactly the kind of case worth confirming rather than assuming.
