These Terms & Conditions ("Terms") govern your access to and use of goldenkeybcs.com and all related pages, tools and the GK AI assistant (the "Website"), and any services provided by Golden Key Management Consultancies LLC, trading as GoldenKey Business & Consultant Services ("GoldenKey", "we", "us").

By using the Website, submitting an enquiry or engaging our services you confirm that you have read, understood and agree to these Terms, our Disclaimer, Privacy Policy and Cookie Policy. If you do not agree, please do not use the Website or our services.

• "Client" / "you" — any person or entity using the Website or engaging GoldenKey's services, including their authorised representatives.
• "Services" — company formation, licensing, visa, PRO, Golden Visa, tax registration, bank-account assistance, document attestation, IT and related consultancy services.
• "Quotation" — a written price proposal issued by an authorised GoldenKey representative.
• "Government Fees" — fees, charges and deposits payable to any authority, free zone, regulator, bank or third-party provider.
• "Official Channels" — GoldenKey's official email addresses, phone/WhatsApp number +971 55 671 5001, office address and the bank account stated on an official GoldenKey invoice.

Our services are intended for individuals aged 18 or over and for businesses legally able to enter into binding contracts. By engaging us you confirm that you have the legal capacity and authority to do so, that you are not subject to sanctions or legal restrictions that prevent you from forming or operating a UAE company, and that any business you intend to operate is lawful.

GoldenKey provides consultancy and administrative assistance for setting up and maintaining businesses in the UAE. The exact scope, deliverables, fees and timelines of each engagement are set out in your Quotation, engagement letter or invoice, which prevail over general descriptions on the Website.

GoldenKey acts as your consultant and agent for preparing and submitting applications. We are not a government authority, free zone, bank or law firm, and we do not issue licences, visas or approvals ourselves.

• Prices, packages and offers published on the Website, price explorer, quote builder or given by GK AI are indicative and may contain errors. They do not constitute an offer capable of acceptance.
• A Quotation is valid for the period stated on it (or 14 days if none is stated) and may be revised if authority fees, exchange rates or your requirements change.
• Government Fees are passed through at cost or as estimated, and may change without notice. Any increase imposed by an authority after the Quotation is payable by you.
• All amounts are in UAE Dirhams (AED) and exclusive of VAT unless stated otherwise. VAT is charged where applicable under UAE law.
• GoldenKey is not bound by obvious errors in prices and may correct them before accepting an engagement.

You agree to:

• provide true, complete, current and genuine information and documents, and promptly inform us of any change;
• cooperate with know-your-customer (KYC), due-diligence and anti-money-laundering checks required by GoldenKey, the authorities or banks;
• attend medical tests, biometrics, interviews and signings when required;
• comply with all UAE laws and the rules of the authority that licenses your company, including renewals, filings and economic-substance, VAT and corporate-tax obligations after your company is set up.

Delays, rejections, penalties or extra costs caused by incomplete, incorrect or late information from you are your responsibility.

• Payment terms are stated on your Quotation or invoice. Unless agreed otherwise, Government Fees must be paid in advance and work starts after cleared payment.
• Government Fees, once paid to an authority or third party, are non-refundable by GoldenKey, regardless of the outcome of the application, unless and only to the extent the authority itself refunds them.
• GoldenKey's professional fees are non-refundable once work on the relevant stage has started, except as set out in our Refund Policy or in a written agreement.
• Late payments may delay or suspend the Services; any resulting authority penalties are payable by you.
• Bank, card and transfer charges are borne by the payer.

GoldenKey will never ask you to pay into a personal account, a cryptocurrency wallet or a third party, and will never change its bank details by message alone. If in doubt, call +971 55 671 5001 before paying.

GoldenKey shall have no responsibility or liability for funds paid to any account, person or channel other than the Official Channels, or for losses caused by fraud, phishing, impersonation, compromised e-mail or messaging accounts, or other acts of third parties outside GoldenKey's reasonable control. Such payments do not discharge any amount owed to GoldenKey.

Approvals, licences, visas, Emirates IDs, tax registrations and bank accounts are granted solely at the discretion of the relevant authority or bank, which may request additional documents, impose conditions or refuse an application without giving reasons. GoldenKey does not guarantee any outcome or timeline and is not liable for the acts, omissions, delays, system outages or fee changes of authorities, banks, couriers, translators, landlords or other third parties.

The GK AI assistant, Activity Finder, price explorer and quote builder are provided free of charge for general guidance. Their output is generated automatically, may be inaccurate or incomplete, and does not form part of any contract or Quotation. You must not rely on it as professional advice. We may limit, change or withdraw these tools at any time. Please see the Disclaimer for details.

You must not use the Website or our services to:

• break any law, including UAE anti-money-laundering, counter-terrorism-financing, sanctions, fraud or cyber-crime laws;
• submit false, forged or misleading documents or information;
• scrape, copy, resell or systematically extract content, prices or activity data, or overload the Website or its AI assistant (including automated queries or prompt-injection attempts);
• attempt to gain unauthorised access to our systems, introduce malware, or interfere with security features;
• impersonate GoldenKey or its staff, or misuse our name, logo or materials.

GoldenKey may refuse, suspend or terminate services and report suspicious activity to the competent authorities without liability.

All content on the Website — including text, guides, data compilations, GK activity codes, designs, graphics, logos, images, the GK AI character and software — is owned by or licensed to GoldenKey and protected by UAE and international intellectual-property laws. You may view and print pages for your personal, non-commercial use. Any other reproduction, distribution or commercial use requires our prior written consent.

Some tools save information (such as chats, saved activities or quotes) in your own browser so you can return to them. This information stays on your device and can be cleared at any time from your browser or our Cookie Policy page.

You agree that communications by e-mail, WhatsApp, phone and other electronic means are valid for the purposes of our engagement, and that electronic records and approvals have the same effect as written ones, in line with UAE electronic-transactions law.

The Website may link to third-party websites and services. We do not control them and are not responsible for their content, availability or practices. Your use of them is subject to their own terms and policies.

The Website and its content are provided "as is" and "as available". Our full Disclaimer — covering general information, AI-generated content, indicative prices, payment safety and authority decisions — forms part of these Terms.

To the fullest extent permitted by UAE law:

• GoldenKey shall not be liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, opportunity, data or goodwill;
• GoldenKey shall not be liable for decisions of authorities or banks, for Government Fees, or for losses arising from payments outside the Official Channels;
• GoldenKey's total aggregate liability arising from any engagement shall not exceed the professional fees actually paid to GoldenKey (excluding Government Fees) for the specific service giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.

You agree to indemnify and hold harmless GoldenKey, its owners, managers, employees and agents from any claims, losses, penalties, damages and costs (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, the information or documents you provide, or the activities of your company.

GoldenKey is not responsible for any delay or failure to perform caused by events beyond its reasonable control, including changes in law or authority procedures, government or system shutdowns, public holidays, pandemics, natural disasters, war, civil unrest, power or internet failures and cyber-attacks.

We may suspend or terminate the Services or your access to the Website, with or without notice, if you breach these Terms, fail to pay, provide false information, fail compliance checks or if continuing would expose GoldenKey to legal or reputational risk. Fees for work performed and Government Fees already paid remain payable and non-refundable.

GoldenKey keeps your documents and information confidential and uses them only to provide the Services, except where disclosure is required to authorities, banks or service providers involved in your application, or by law, regulation or court order. GoldenKey complies with UAE anti-money-laundering requirements and may retain records and report suspicious transactions as required by law. See our Privacy Policy.

We may update these Terms from time to time. The version published on the Website with its "Last updated" date applies to your use of the Website. For an ongoing engagement, the Terms in force on the date of your Quotation apply unless we agree otherwise in writing.

These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Ajman as applicable. The parties will first try to resolve any dispute amicably within 30 days of written notice. Failing that, the competent courts of the Emirate of Ajman, UAE shall have exclusive jurisdiction, unless a written agreement provides otherwise.

• If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
• These Terms, together with your Quotation, engagement letter or invoice and the policies referred to above, form the entire agreement between you and GoldenKey; in case of conflict, the signed engagement document prevails.
• Failure to enforce any right is not a waiver of that right.
• These Terms are written in English. If they are translated, the English version prevails to the extent permitted by law.
